Google Maps Ranking Guarantee — Terms

NOTICE TO READER: These guarantee terms are provided to give clients and prospective clients a clear understanding of how the TradeMarked Consulting Google Maps ranking guarantee operates. They are intended to be honored as written. These terms supplement the master service agreement signed by every client.
Important
This document defines the terms of the Google Maps Ranking Guarantee referenced in TradeMarked Consulting Ltd. marketing materials. The guarantee applies exclusively to Google Maps local pack rankings. AI search visibility, Google organic search rankings, lead volume, revenue outcomes, and any other business outcome are part of our standard service but are not covered by this guarantee.
In any conflict between marketing summaries of the guarantee (including but not limited to language used on the website, in emails, in social media, in sales conversations, or in promotional materials) and the terms set out in this document, the terms in this document govern.
1. What we guarantee
TradeMarked Consulting Ltd. ("TradeMarked," "we," "us," "our") guarantees that within ninety (90) calendar days of the engagement start date defined in Section 7, the Client's Google Business Profile will appear in positions one (1) through three (3) of the Google Maps local pack — the "Top 3 Google Maps Ranking" — for at least one (1) of the agreed-upon target keywords in the Client's primary service area, as documented in the engagement onboarding.
If we do not achieve the Top 3 Google Maps Ranking within ninety (90) calendar days, and the Client qualifies under Section 3 of this document, we will continue providing the Google Growth System service at no additional charge until the Top 3 Google Maps Ranking is achieved or until the Remedy Period defined in Section 5 ends — whichever comes first.
2. What we do not guarantee
The following are explicitly NOT covered by this guarantee, regardless of any marketing language to the contrary:
(a) Rankings or visibility on AI search engines, including but not limited to ChatGPT, Google Gemini, Anthropic Claude, Perplexity, Microsoft Copilot, Google AI Overview, or any other generative AI search platform.
(b) Rankings on Google organic search (the standard search results outside of the Google Maps local pack).
(c) Rankings on Bing, DuckDuckGo, Yahoo, or any other non-Google search engine.
(d) Specific volumes of inbound calls, leads, jobs, contracts, revenue, or any other business outcome.
(e) Conversion rates, sales outcomes, or any other commercial result derived from rankings.
(f) Rankings for any keywords other than the agreed-upon target keywords.
(g) Rankings outside of the Client's defined primary service area.
(h) Any specific date or time-frame for partial ranking movement during the ninety (90) day period.
3. Disqualifying conditions
The Client does not qualify for the Remedy under this guarantee — and TradeMarked has no obligation to provide the Remedy — if any of the following has occurred at any point during the engagement.
3.1 Payment-related disqualifications
(a) Any invoice was paid more than five (5) calendar days after its due date, regardless of cause. This includes delays caused by the Client's bank, payment processor, payment method failures, expired cards, or any other reason.
(b) Any payment was charged back, disputed, or reversed by the Client.
(c) The Client has any outstanding balance owed to TradeMarked.
3.2 Access-related disqualifications
(a) The Client failed to provide TradeMarked with timely administrative or owner-level access to: the Client's Google Business Profile; Google Search Console; Google Analytics; Google Tag Manager; the Client's website content management system or hosting environment; the Client's Google Ads or Local Service Ads accounts; or any other platform or asset reasonably required by TradeMarked to perform the Google Growth System service.
(b) The Client revoked any access previously granted to TradeMarked, even temporarily.
(c) The Client failed to respond to requests for required access within fourteen (14) calendar days of the request being made in writing.
3.3 Recommendation-related disqualifications
(a) TradeMarked issued any written recommendation regarding the Client's online presence — including but not limited to the Client's website, Google Business Profile, local citations, content strategy, review acquisition strategy, paid advertising, or technical implementations — and the Client either (i) declined the recommendation, or (ii) failed to respond within fourteen (14) calendar days of the recommendation being issued in writing.
(b) TradeMarked diagnosed the Client's existing website as a material limiting factor on ranking performance and recommended either (i) substantial modifications to the website, or (ii) a complete website rebuild, and the Client declined to proceed. For this clause to apply, the diagnosis must be issued in writing and accompanied by specific reasoning explaining why the website is the rate-limiting factor on ranking performance.
3.4 Conduct-related disqualifications
(a) The Client engaged any other SEO, local SEO, Google Business Profile management, citation management, or AI search optimization vendor, contractor, freelancer, or in-house staff member to perform overlapping work during the engagement without prior written approval from TradeMarked.
(b) The Client made material changes to its Google Business Profile, website, business location, business name, business categories, hours of operation, or service area without consulting TradeMarked, where such changes negatively impacted ranking performance.
(c) The Client's Google Business Profile was suspended, removed, restricted, or penalized by Google for reasons attributable to the Client. This includes but is not limited to: fake or paid reviews acquired or solicited by the Client; ineligible business categories; violations of Google's Business Profile guidelines that pre-existed the engagement or were caused by the Client during the engagement; and conduct violating any Google policy.
(d) The Client paused, suspended, or terminated services for any reason during the ninety (90) day period.
(e) The Client engaged in any activity that violated Google's Business Profile guidelines, Google Ads policies, or the terms of service of any platform on which TradeMarked was performing services.
3.5 External factor disqualifications
(a) Ranking performance was materially affected by factors outside TradeMarked's reasonable control, including but not limited to: Google algorithm updates that materially change local ranking factors during the engagement; Google Maps category changes or restructuring; the entry of substantially more competitors into the Client's primary service area during the engagement; changes to the Client's business that altered its relevance to the target keywords; legal action or regulatory intervention affecting the Client's ability to operate; or natural disasters, public health emergencies, or other force majeure events affecting the Client's geographic area.
4. The ninety (90) day period
The ninety (90) day period is the first ninety (90) consecutive calendar days following the engagement start date, as documented in the master service agreement signed by the Client.
This period reflects the standard timeline required for local search engine optimization and Google Business Profile work to take measurable effect. The Client agrees that ranking changes within the first ninety (90) days are not always linear, and the guarantee cannot be invoked before the end of the ninety (90) day period.
5. The Remedy
If the Client qualifies under Section 3 and TradeMarked has not achieved the Top 3 Google Maps Ranking by the end of the ninety (90) day period, TradeMarked will continue providing the full Google Growth System service at no additional charge for up to forty-five (45) consecutive calendar days (the "Remedy Period").
At the conclusion of the Remedy Period:
(a) If the Top 3 Google Maps Ranking is achieved at any point during the Remedy Period, the Client may continue services at the standard agreed-upon monthly rate, beginning the day after the Remedy Period ends.
(b) If the Top 3 Google Maps Ranking is not achieved by the end of the Remedy Period, the Client may, at the Client's sole option, either: (i) continue services at the standard agreed-upon monthly rate, or (ii) terminate services with no further obligation to TradeMarked beyond the close of the Remedy Period.
No refunds, credits, monetary compensation, partial payments, prorated reimbursements, or any other monetary remedies are offered under this guarantee. The exclusive remedy available to the Client is the forty-five (45) day Remedy Period as described above.
6. Procedure for invoking the guarantee
To invoke this guarantee, the Client must submit a written request to [email protected] within fourteen (14) calendar days of the end of the ninety (90) day period. The request must:
(a) Reference the engagement and the agreed-upon target keywords;
(b) Provide reasonable evidence that the Top 3 Google Maps Ranking was not achieved during the ninety (90) day period;
(c) Affirmatively confirm that, to the Client's knowledge, none of the disqualifying conditions in Section 3 have occurred.
TradeMarked will review the request within fourteen (14) calendar days and respond in writing with one of the following:
(a) Confirmation that the guarantee is invoked and the Remedy Period commences immediately;
(b) A determination that the Top 3 Google Maps Ranking was achieved during the ninety (90) day period, supported by ranking data;
(c) A determination that the Client does not qualify under Section 3, with citation of the specific disqualifying condition(s).
If TradeMarked does not respond within fourteen (14) calendar days, the guarantee is deemed invoked and the Remedy Period commences on the fifteenth (15th) day after the request was submitted.
A Client who fails to submit a written request within fourteen (14) calendar days of the end of the ninety (90) day period waives the right to invoke this guarantee for that engagement.
7. Definitions
"Top 3 Google Maps Ranking" means appearing in positions one (1), two (2), or three (3) of the Google Maps local pack — the three-business map result displayed in Google Search Engine Results Pages — for at least one (1) of the agreed-upon target keywords, when queried from a device with location settings approximating the Client's primary service area.
"Agreed-upon target keywords" means the specific list of search keywords identified during the engagement onboarding process and documented in writing as the targets of the Google Growth System service. This list will not be modified after the engagement start date except by mutual written agreement of TradeMarked and the Client.
"Primary service area" means the geographic area, as agreed to and documented in the engagement onboarding documentation, in which the Client's business is primarily marketed.
"Engagement start date" means the date documented in the master service agreement as the start of paid services.
"Remedy Period" means up to forty-five (45) consecutive calendar days of continued service at no additional cost, as described in Section 5.
8. Modifications to these terms
TradeMarked reserves the right to modify these terms at any time. The version of these terms in effect on the Client's engagement start date applies to that engagement. Subsequent modifications do not retroactively alter active engagements unless the Client agrees in writing.
9. Relationship to master service agreement
This document supplements, and does not replace, the master service agreement signed by the Client. In any conflict between this document and the master service agreement regarding matters not specifically addressed by this guarantee, the master service agreement governs. Regarding the specific matters addressed by this guarantee, this document governs.
10. Governing law and dispute resolution
This guarantee is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising from or related to this guarantee shall be resolved in accordance with the dispute resolution procedure set out in the Client's master service agreement with TradeMarked.
11. Severability
If any provision of this document is found by a court or arbitrator of competent jurisdiction to be unenforceable, the remaining provisions remain in full force and effect.
